Terms of Service

Welcome to Vetvio. These Terms of Service ("Terms") govern your access to and use of Vetvio's services. Please read them carefully.
IMPORTANT: These Terms contain an arbitration clause and class action waiver that affect your legal rights. Please review Section 16 carefully.
1. Agreement to Terms
By accessing or using Vetvio (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you don't agree, you may not use the Service.
These Terms constitute a legally binding agreement between you and Zanforge LTD, a company registered in Paphos, Cyprus ("Company", "we", "us", or "our").
2. Definitions
- "Service" means Vetvio's AI-powered resume screening platform and all related services
- "User", "you", or "your" means the individual or entity using the Service
- "Content" means resumes, job descriptions, and any other data you upload or submit
- "Account" means your registered account on the Service
- "AI Analysis" means the automated candidate evaluation provided by our algorithms
3. Description of Service
Vetvio provides AI-powered resume screening and candidate evaluation tools. The Service analyzes uploaded resumes against job requirements to help recruiters make more informed hiring decisions.
Important: The Service provides recommendations only. You are solely responsible for all hiring decisions. Our AI analysis is a tool to assist, not replace, human judgment in hiring.
4. Eligibility and Accounts
4.1 Eligibility
To use the Service, you must:
- Be at least 18 years old
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- Represent an organization authorized to conduct hiring activities (for business accounts)
4.2 Account Registration
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
4.3 Business Accounts
If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service only for lawful business purposes related to candidate evaluation and recruitment.
5.2 Prohibited Activities
You agree NOT to:
- Violate any applicable laws, including employment discrimination laws
- Upload malicious code, viruses, or harmful content
- Attempt to reverse engineer, decompile, or hack the Service
- Use the Service to discriminate based on protected characteristics (race, gender, age, disability, etc.)
- Scrape, copy, or extract data using automated means
- Resell, sublicense, or redistribute the Service without written permission
- Interfere with or disrupt the Service or servers
- Impersonate any person or entity
- Use the Service to process personal data of individuals in the EU without proper legal basis
- Upload content you don't have the right to process
- Exceed usage limits or attempt to circumvent billing
5.3 Compliance with Employment Laws
You are solely responsible for ensuring your use of the Service complies with all applicable employment, anti-discrimination, and data protection laws in your jurisdiction, including but not limited to Title VII, ADA, ADEA, GDPR, and local equivalents.
6. Intellectual Property Rights
6.1 Your Content
You retain all ownership rights to Content you upload. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze your Content solely to provide and improve the Service. This license terminates when you delete your Content, except for backup copies retained for up to 30 days.
6.2 Our Intellectual Property
The Service, including all software, algorithms, designs, trademarks, and content we create, is owned by Zanforge LTD and protected by copyright, trademark, and other intellectual property laws. You receive no ownership rights; only a limited right to use the Service as described in these Terms.
6.3 Feedback
If you provide us with feedback or suggestions, we may use them freely without any obligation to you.
7. Privacy and Data Protection
7.1 Privacy Policy
Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
7.2 Data Processing
We process personal data in accordance with GDPR and applicable data protection laws. You acknowledge that by uploading candidate data, you act as a data controller and represent that you have a lawful basis for processing such data and sharing it with us (as data processor).
7.3 Data Security
We implement reasonable security measures to protect your data. However, no system is 100% secure, and we cannot guarantee absolute security.
8. Payment Terms
8.1 Subscription Fees
Paid plans are billed in advance on a monthly or annual basis. You agree to pay all fees according to your selected plan.
8.2 Payment Method
You must provide a valid payment method. By providing payment information, you authorize us to charge all fees to that method.
8.3 Automatic Renewal
Subscriptions automatically renew unless you cancel before the renewal date. You'll be charged at the then-current rate.
8.4 Price Changes
We may change pricing with 30 days' advance notice. Continued use after the notice period constitutes acceptance of new pricing.
8.5 Taxes
Fees don't include applicable taxes (VAT, sales tax, etc.). You're responsible for all taxes except those based on our income.
8.6 Refunds
Fees are non-refundable except as required by law or as expressly stated in these Terms. We may provide refunds on a case-by-case basis at our sole discretion.
8.7 Usage-Based Fees
Some features may incur usage-based charges. You'll be notified of such charges and billed monthly for usage above included allowances.
8.8 Overdue Payments
Overdue amounts may be subject to interest at 1.5% per month (or the maximum rate permitted by law). We may suspend your access for non-payment.
9. Free Trials and Promotional Offers
We may offer free trials or promotional pricing. We reserve the right to terminate any trial or promotion at our discretion. Misuse of trials (e.g., creating multiple accounts) may result in account termination and charges for usage.
10. Cancellation and Termination
10.1 Cancellation by You
You may cancel your subscription anytime through your account settings. Cancellation takes effect at the end of your current billing period. You won't receive a refund for the remainder of that period.
10.2 Termination by Us
We may suspend or terminate your access immediately without notice if you:
- Breach these Terms
- Engage in fraudulent or illegal activities
- Fail to pay fees when due
- Use the Service in a manner that causes harm or liability
10.3 Effect of Termination
Upon termination:
- Your right to use the Service ends immediately
- You remain liable for all fees incurred before termination
- We'll delete your data according to our retention policy (typically within 30 days)
- Provisions that by their nature should survive will continue (e.g., warranties, indemnification, limitations of liability)
10.4 Data Export
Before cancellation, you should export any data you wish to retain. We're not obligated to provide data after termination.
11. Warranties and Disclaimers
11.1 Your Warranties
You represent and warrant that:
- You have the right to upload and process all Content you submit
- Your use complies with all applicable laws
- Content doesn't infringe third-party rights
- You have obtained necessary consents for processing candidate data
11.2 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.
We don't warrant that:
- The Service will be uninterrupted, secure, or error-free
- Results will be accurate or reliable
- Defects will be corrected
- The Service meets your specific requirements
11.3 AI Limitations
AI analysis may contain errors, biases, or inaccuracies. You acknowledge that AI is not a substitute for human review and judgment in hiring decisions.
12. Limitation of Liability
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZANFORGE LTD, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES RESULTING FROM HIRING DECISIONS MADE USING THE SERVICE
- ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY
12.2 Exceptions
Some jurisdictions don't allow exclusion of certain warranties or limitations of liability. In such cases, our liability is limited to the maximum extent permitted by law.
12.3 Third-Party Claims
You're solely responsible for defending against any third-party claims arising from your hiring decisions or use of the Service.
13. Indemnification
You agree to indemnify, defend, and hold harmless Zanforge LTD, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Your Content or hiring decisions
- Your breach of data protection obligations
14. Third-Party Services
The Service may integrate with third-party services (e.g., cloud storage, payment processors). We're not responsible for third-party services, and your use of them is governed by their terms.
15. Modifications to Service and Terms
15.1 Service Changes
We may modify, suspend, or discontinue any part of the Service at any time. We'll provide reasonable notice for material changes affecting paid features.
15.2 Terms Changes
We may update these Terms by posting revised terms with a new "Last Updated" date. Material changes will be notified via email or Service notification. Continued use after changes constitutes acceptance.
16. Dispute Resolution
16.1 Informal Resolution
Before filing a claim, you agree to contact us at legal@vetvio.com and attempt to resolve the dispute informally for at least 30 days.
16.2 Governing Law
These Terms are governed by the laws of Cyprus, without regard to conflict of law principles.
16.3 Arbitration
Any dispute not resolved informally will be resolved by binding arbitration in accordance with the rules of the Cyprus Arbitration and Mediation Centre, conducted in English in Paphos, Cyprus. The arbitrator's decision is final and binding.
16.4 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
16.5 Exceptions
Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zanforge LTD regarding the Service.
17.2 Severability
If any provision is found unenforceable, the remaining provisions continue in effect, and the unenforceable provision is modified to the minimum extent necessary to make it enforceable.
17.3 Waiver
Our failure to enforce any right or provision doesn't constitute a waiver of that right or provision.
17.4 Assignment
You may not assign these Terms without our written consent. We may assign these Terms to any affiliate or successor without consent.
17.5 Force Majeure
We're not liable for delays or failures due to circumstances beyond our reasonable control (e.g., natural disasters, war, strikes, cyberattacks, government actions, pandemics).
17.6 Export Compliance
You agree to comply with all applicable export and sanctions laws.
17.7 Government Users
If you're a U.S. government entity, the Service is a "commercial item" as that term is defined at 48 C.F.R. §2.101.
17.8 No Third-Party Beneficiaries
These Terms don't create any third-party beneficiary rights.
